Interpretation and Definitions
Interpretation
The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:
- Account means a unique account created for You to access our Service or parts of our Service.
- Country refers to: Bahrain
- Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Souq 2 Door W.L.L.
- Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
- Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
- Product refers to product that you own and display for sale on the website: http://www.souq2door.com
- Service refers to the Website.
- Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
- Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
- Website refers to Souq2Door, accessible from http://www.souq2door.com
- You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgement
These are the Terms and Conditions governing the use of this Service and the agreement that operates between you and the company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the service is conditioned on your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all users who access or use the Service.
By accessing or using the service you agree to be bound by these Terms and Conditions. If you disagree with any part of these Terms and Conditions then you may not access the Service.
You represent that you are over the age of 18. The company does not permit those under 18 to use the Service.
User Accounts
When you create an account on this platform, you must provide us with information that is accurate, complete and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscence.
Content
Your Right to Post Content and Add Products for Sale
Our Service allows you to post Content. You are responsible for the Content and Products that You post to the Service, including its legality, reliability, and appropriateness.
By posting Content and/or adding a product for sale to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You agree that this license includes the right for us to make your Content and products for sale available to other users of the Service.
You represent and warrant that: (i) the Content and products for sale are yours (You own it) and you have the right to sell the products and use the content and grant us the rights and license as provided in these Terms, and (ii) the posting of Your Content and Products on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
Content Restrictions
The Company is not responsible for the products and content of the Service’s users. You expressly understand and agree that You are solely responsible for the Content and Products and for all activity that occurs under your account, whether done so by You or any third person using Your account.
You may not transmit any Content or list any Products for sale that are unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:
- Unlawful Content or Products
- Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
- Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
- Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
- Impersonating any person or entity including the Company and its employees or representatives.
- Violating the privacy of any third person.
- False information and features of products.
- False or misleading information of materials used to produce the products.
- False information of manufacture details.
- False or misleading information in relation to any product for sale.
- Products that you do not own.
- Listing products on behalf of others, you are the sole owner of the products.
- Listing products that are counterfeit.
- Listing products where you are not the rightful and legal owner.
- You fully comply with all local government regulations with regard to commercial laws, licenses and anti-money laundering rules and regulations, it is your sole responsibility to ensure all laws are adhered at all times.
The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content and Products listed are appropriate and complies with this Terms, refuse or remove this Content. The Company further reserves the right to make formatting and edits and change the manner of any Content and Products. The Company can also limit, suspend or revoke the use of the Service if you post such objectionable Content. The Company reserves the right to remove or suspend any vendor who does not abide by the Return and Refunds Policy. The Company reserves the right to remove or suspend any vendor who fails to follow the Terms and Conditions set out in this Agreement. As the Company cannot control all content posted by users and/or third parties on the Service, you agree to use the Service at your own risk. You understand that by using the Service you agree that under no circumstances will the Company be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content.
Content Backups
Although backups of Content are performed every 24 hours, the Company does not guarantee there will be no loss or corruption of data.
Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.
The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But you acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.
You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.
Intellectual Property
The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors.The Service is protected by copyright and other laws of both the Country and foreign countries.
Our trademarks may not be used in connection with any product or service without the prior written consent of the Company.
Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.
Upon termination, your right to use the Service will cease immediately.
Additional Terms of Use
This contract is entered between Souq2Door, the hosting platform and you the Vendor.
Souq2Door will host and market your products to enable your products to reach a domestic and global market. Should you wish to only sell your products within Bahrain, or only in the GCC, we can also facilitate this request. Our current international shipping destinations are as follows. Your Commercial Registration and related activities
While priority is given to Souq Vendors, we have the ability to host any MOICT licensed and regulated shop located in Bahrain as long as your products fall within our categories above. Your Commercial Registration, required activities associated with your CR and all relevant licenses must be active and valid. If you CR is revoked or cancelled for any reason, you must inform Souq2Door and we will remove your products and your shop from the site. It is your sole responsibility to ensure that all relevant CR related requirements associated with your shop are in place at all times. It is also your responsibility to inform Souq2Door if your Company Commercial Registration becomes inactive, invalid or closes.
Product Details, Photos and Descriptions
You will use your own photographs or video content, no stock photos are allowed. Photos which have artistic renderings or photos used by other sellers or sites are not permitted. Souq2Door will assist you with loading your products to get you started. After which we will always be available to provide you with as much support as you require. No photographs from the internet or stock photos can be used as a true depiction of your products must be displayed. Your photo size must be square with an aspect ratio of 1:1. This will be discussed during our initial meeting. You understand that we will use your product photographs for your online shop products and for marketing purposes.
If you are selling personalised or made-to-order items, you agree that:
For items to be classified as Antiques – the items must be at least 20 years old.
Managing you Vendor Shop
Your online shop represents you and your business, it is important that you, your items and your shop are honestly and accurately represented. By selling on Souq2Door, you agree to ensure your shop name is not the property of another company or trademarked by another company globally. Your shop name must be unique.
It is imperative that your stock levels for your online shop are always up-to-date as you are also selling in your physical shop. If an item is out of stock online and the customer has proceeded with the payment process, you may be subject to refund fees which are implemented by the payment gateway. Ensure you avoid this by keeping your stock levels up-to-date online at all times. This will be covered during training process. We can adjust your product at any time if your product is out of stock, you will also have the ability to adjust the product stock number and price from your dashboard. Training will be provided on an ongoing basis, we are always at your disposal to assist. Weights of products must be accurate as your shipping costs will be based on product weight. The weight entered in the system MUST include the packaging weight also. If incorrect weights are entered you will be subject to fees for the difference in weight and actual weight.
Fine Jewellery Sellers – (Precious Metals, Gemstones & Pearls)
In accordance with the Anti Money Laundering Regulations in Bahrain, any customer who purchases any kind of precious metal or gemstone of any value must present their identity information and any other required documents. The same Anti Money Laundering rules you apply to your physical shop will also apply to your online shop regardless of whether the purchase is in Bahrain or overseas.
You are required to obtain a copy of the customers ID for all Fine Jewellery sales (Gold, Silver, Platinum, Pearls & Gemstones). Once the customer has placed the order, you can contact the customer using your notes on your dashboard to request the customers ID. Once you receive the ID you can then proceed with the purchase. Without obtaining the customers ID you must never proceed with the order. If the customer does not want to issue ID, contact us and we will cancel the order and notify the customer. In Bahrain a CPR or passport copy will be required, for customers outside Bahrain a national identity card or a passport copy will be required. You must safeguard your customers personal details in a secure and locked file. In order to protect the customers details, you are strictly not permitted to use the customers identity for any purpose whatsoever. You are considered the guardian of this information and you must comply with all rules and regulations with respect to safeguarding your customers information and you must comply with the privacy laws of Bahrain. You will be required to retain a copy of all paperwork for all purchases as per the Ministry’s requirements. Any changes to Bahrain’s Anti Money Laundering Rules and Regulations will have to be complied with at all times. If you do not comply with these rules and regulations, this will be considered a serious breach of the Laws of Bahrain and you can face prosecution.
When selling jewellery items which contain precious metals or gemstones, it is your sole responsibility to ensure you comply with all Anti Money Laundering Rules and Regulations in Bahrain at all times. Your shops appointed Anti Money Laundering Compliance Officer will be responsible for ensuring all rules and regulations are followed. As you the vendor are the sole owner of these products, it is your sole responsibility to carry out necessary checks and to report any suspicious purchases. Souq2Door will NOT carry out these checks for you as we do not own or handle the products. If you suspect the purchase is suspicious or out of the ordinary at any point you must not proceed with the order and you must report the suspicious activity to the Ministry as per the Anti Money Laundering Regulations in Bahrain. To cancel the order you will need to contact Souq2Door to enable us to action the order cancellation process. Souq2Door will not be held responsible or liable for any non compliance of any Anti Money Laundering Regulations you the Vendor fail to carry out. Please refer to Ministerial Order No. (173) of 2017 for further details and ensure you are fully aware and fully comply with all and any updates issued by the Ministry.

Seller Standards
By listing a product for sale, you understand and agree that you are responsible for complying with all applicable laws and regulations for the products you list for sale, including any required labels and warnings.
Meeting Service Level Standards
As a seller, you must provide a speedy order and delivery service. Should there be any unforeseen delay in shipping the products or a delay in production, you must notify the customer as soon as you are aware of any such delay. You can communicate directly with your customers using “order notes” from your dashboard. Training will be provided on all aspects and features.
By selling on Souq2Door, you agree to: honor your shipping and processing times, items to be shipped on same working day where possible, except public holidays and weekends after which the order must be processed on the following working day.
If you are closing your shop for any reason we as admin and you as a vendor have an option to put your store on “Vacation Mode”. Please ensure you contact Souq2Door to inform us if you want to put your store on vacation mode – to enable us to suspend your customer shopping carts temporarily. Training will be provided on same. At times you may need to take a break from your online store and this feature is useful for such situations.
Sellers are obligated to ship an item and complete the transaction in a prompt manner, please be aware that legal requirements for shipping times vary by country, therefore prompt delivery time is imperative. Inspect every item prior to shipping, once collected by the courier, update your dashboard with the AWB details to enable the customer to track their shipment – this will ensure stock levels are adjusted and your payment process can begin.
Respond to Messages in a timely manner
Resolve any disagreements or disputes directly with the buyer. In the unlikely event that you cannot reach a resolution remember we are always here to help. Please ensure you fully agree to the Return and Refund Policy to ensure you know your rights and the rights of your customers. If you are unable to complete an order, you must notify the buyer immediately and contact Souq2Door to cancel the order.
Selling Fees, Tax, Shipping and Product Management
Souq2Door charges a flat commission fee, there are zero hidden fees, no listing fees, no subscription fees, no admin fees. We also cover the payment gateway fees. As stated above if your stock numbers are not accurate and a customer has proceeded with the order process, you may be subject to payment gateway fees to refund the customer. Ensure you avoid any unnecessary fees by keeping your stock numbers up to date at all times. This will be fully covered during the training process.
We have a number of VAT categories for all purposes and this will be covered in our initial meeting. All Shipping costs and Taxes where applicable will be refunded to you the Vendor to enable you to pay your tax and shipping bills. You are responsible for paying both your tax bill (where applicable) and your shipping bill. Courier accounts will be set up for each vendor.
If you are currently not registered for VAT and this situation changes and you later register for VAT, you must inform Souq2Door as your product tax status will have to be adjusted. Your payment will be held in the payment gateway for 30 days after which your payment will be transferred to your business bank account, this delay is purely to cover any refunds you may have to provide to your customers. This will enable an easy and efficient means to refund your customers. The payment you will receive from the gateway will include product cost minus commission for Souq2Door, all tax (where applicable) and all shipping costs. Should a customer request a refund in accordance with our refund policy after you have received your payment, you are still liable to refund the customer.
Souq2Door reserves the right to refuse any product that does not meet our standards. Once your product is live you can make adjustments such as increasing or decreasing stock levels, adjust product pricing or put an item or all items on sale. In order to delete a product, you must contact Souq2Door as a number of processes will have to take place for us to delete the product. If you are out of stock we have the ability to temporarily remove the product from your shop until your stock levels adjust. Should you receive an order cancellation, you must inform Souq2Door to enable us to cancel the order and to refund the customer.
This platform enables you to control your own online store within the platform, Souq2Door will provide training and as much support as you require and for as long as is required. You will have full control over your own online store within this platform. We have created a very user friendly and simply dashboard that will highlight your orders, products, commission due, commission paid etc. Using your dashboard you fully control your products and your shop, you can load your products and photos and set your product prices. You also have the ability to put your items on sale if you so wish. We have installed many other user friendly features that will make your online process easy to control, access and amend whenever required. The system is fully automated and you will receive email notification for new orders, enabling you to process and ship your products.
Being a Member of the Souq2Door Community
At Souq2Door everyone is expected to treat fellow members of the Souq2Door community (Sellers and Customers) with respect. As a seller, you have additional responsibilities to safeguard customers personal information.
Privacy and Protecting Personal Data & Information
You the Vendor are responsible for protecting your customers personal information which you receive during the ordering process and you must comply with all relevant legal requirements in order to protect your customers privacy and data. This includes all applicable data protection and privacy laws that govern the ways in which you can use customers information. Customer information must not be used for any other means except for processing the order. Please refer to our Privacy Policy. Souq2Door and its vendors will not share or disclose personal information with any third-party including any marketing or analytics company. You must strictly protect your customers information at all times.
Personal information (for example, buyer’s name, ID, email address and shipping address etc.) under EU law, you are an independent controller of customers data. For more information on the General Data Protection Regulation, see more resources at https://gdpr-info.eu. If you disclose personal information without the buyer’s proper consent, or use the customers details for anything other than the transaction, you are responsible for that unauthorized disclosure. This includes, for example, disclosures you make or unintentional data breaches.
Under data protection laws, you are not permitted to use customer information for unsolicited commercial messages or unauthorized transactions. You may not contact the customer for anything other than the order the customer placed. You may not use customers identity for marketing purposes or retain any payment information. Please bear in mind that you are responsible for knowing the standard of consent required in any given instance. Failure to protect your customers information or using customers information for anything other than the transaction can lead to a serious data breach and you expose yourself to legal action. Souq2Door will not be held responsible for any information that is not protected or is used for anything other than the transaction. Please refer to our Privacy Policy.
Interfering with a transaction or the business of another member of Souq2Door
Interference occurs when a Vendor intentionally interferes with another member’s shop in order to drive away their customers. Interference is strictly prohibited. Examples of interference include: downplaying other vendors products or advising customers in your notes that you will provide cheaper options or better quality, this is strictly prohibited. This will be considered a breach of the Terms and Conditions of this Agreement and your account will be deleted and your products will be removed from the site.
Communicating Cancellations
If you are unable to complete an order, you must notify the buyer and contact Souq2Door as soon as possible to cancel the order. If the buyer has already submitted payment, Souq2Door will issue a full refund to the customer. You are required to retain all copies of orders, Airway Bill copies and refunds in the event a dispute arises. All cancellations are subject to our Return and Refund Policy. You will also be required to retain all paperwork in relation to exports (AWB & Invoices) for tax purposes. “European Union Right of Withdrawal Buyers” in the European Union (EU), may be entitled to a 14 day “right of withdrawal” after receiving an item, during which time they may return an item for any reason. The details of this right vary by EU member state. the right of withdrawal may not apply to personalized items, (for example a personalized engraved piece of jewellery or an item that is specifically made-to-order). Please be aware that in addition to this policy, each country has its own laws surrounding shipping, cancellations, returns and exchanges.
If you wish to proceed and agree with our Terms and Conditions, we would like to take this opportunity to welcome you onboard. We are here and ready to assist you to make the online transition as streamlined as possible. We have a hands on approach and you will be fully supported at all times. Once you have registered to become a Vendor, we will meet with you at your shop to view your products and to discuss what shipping options you require. Once online we will assist you with loading your products and full training will be provided. Souq2Door will continually be at your disposal to assist whenever required.
Changes to these Terms and Conditions
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.
